These Terms of Use ("Terms") also constitute the End-User License Agreement ("EULA") for the Maximize Media client portal and any related software services. References to the "Terms" throughout this document include the EULA where applicable. These Terms govern your access to and use of the website located at maximize.media, the Maximize Media client portal ("Maximize OS"), and any related services provided by Maximize Media LLC ("Maximize Media," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Who Can Use the Services

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent that you meet these requirements. If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Our Services

Maximize Media is a video production and marketing agency based in Ann Arbor, Michigan. Our Services include our public website, client communication through our portal, project management tools, content collaboration, invoicing, and related business operations. Some Services are available only to clients who have entered into a separate agreement with us (a "Service Agreement" or "Statement of Work"). Those separate agreements govern the specific work being performed and take precedence over these Terms where they conflict.

Accounts

To use certain features of the Services, such as the Maximize OS client portal, you may need to create an account. When you create an account, you agree to: Provide accurate, current, and complete information Keep your login credentials confidential Notify us immediately if you suspect unauthorized access to your account Be responsible for all activities under your account We may suspend or terminate your account if you violate these Terms or if we believe your continued use poses a risk to us or others.

Acceptable Use

You agree not to: Use the Services for any unlawful, fraudulent, or harmful purpose Violate the intellectual property or privacy rights of others Upload viruses, malware, or other malicious code Attempt to reverse-engineer, decompile, or interfere with the Services Scrape, crawl, or use automated means to access the Services without our permission Use the Services to send spam or unsolicited communications Impersonate another person or entity Share another user's account credentials Attempt to gain unauthorized access to any system or data

Content You Provide

When you submit content to the Services (including messages, files, comments, briefs, or feedback), you retain ownership of that content. However, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and modify that content solely as needed to provide the Services to you. You are responsible for the content you submit and represent that you have all necessary rights to share it with us.

Our Content

The Services, including our website design, written content, logos, graphics, and underlying software, are owned by Maximize Media or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited right to use the Services as authorized, these Terms do not grant you any rights to our content. Where work product has been delivered to you under a separate Service Agreement, ownership of that work product is governed by that agreement.

AI-Assisted Features

Some features of the Services use third-party artificial intelligence tools (currently including Anthropic Claude) to help with tasks such as drafting communications, summarizing content, and generating suggestions. You understand that: AI outputs may contain errors or inaccuracies AI-generated content is a starting point and should be reviewed before use We do not guarantee the accuracy, completeness, or suitability of AI outputs for any specific purpose Your inputs to AI features may be processed by our AI provider subject to their terms

Payments

If you are invoiced for Services, payment terms are defined in your Service Agreement. We use third-party payment processors (such as Stripe) to collect payments. By making a payment, you agree to the terms of the applicable payment processor.

Third-Party Services

The Services may integrate with or link to third-party services (such as Google, Slack, QuickBooks, Stripe, or others). Your use of those third-party services is governed by their own terms and privacy policies, not ours. We are not responsible for third-party services.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses. You use the Services at your own risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXIMIZE MEDIA AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total liability for any claim arising out of or related to these Terms or the Services will not exceed the greater of (a) the amount you paid to us in the twelve months preceding the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In those jurisdictions, our liability will be limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Maximize Media, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your content, or your violation of these Terms.

Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason. Upon termination, the provisions of these Terms that by their nature should survive will continue in effect, including provisions related to ownership, disclaimers, limitation of liability, and dispute resolution.

Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved in the state or federal courts located in Washtenaw County, Michigan, and you consent to the jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Significant changes will be communicated through our Site or by email. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
