Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Maximize OS platform, including the application at os.maximize.media, the client portal at client.maximize.media, and our marketing site (collectively, the "Service"), provided by Maximize Solutions LLC ("Maximize," "we," "us," or "our").

By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

Maximize OS is a content and marketing-agency platform that provides project and content workflows, AI-assisted content tools, integrations with third-party services (including Google), and content-performance and analytics reporting. We may add, change, or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Customer responsibilities and content

  • Your content. You retain ownership of the content, materials, and data you submit to the Service ("Customer Content"). You grant us a limited license to host, process, and use Customer Content solely to provide and improve the Service for you.

  • Your accounts and credentials. Where the Service uses your own API keys or connected accounts (for example, a bring-your-own-key model-provider key, or connected Google accounts), you are responsible for those credentials, their costs, and compliance with the applicable provider's terms.

  • Lawful use. You represent that you have the rights necessary to submit Customer Content and to connect any third-party account, and that your use of the Service complies with all applicable laws.

4. Third-party services and Google / YouTube terms

The Service integrates with third-party services that are governed by their own terms and privacy policies. Your use of those integrations is subject to those terms in addition to these Terms.

  • Google services. Your connection and use of Google accounts through the Service is subject to Google's applicable terms and the Google Privacy Policy. Our handling of data obtained through Google APIs is described in our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements.

  • YouTube API Services. The Service uses YouTube API Services. By using the YouTube-powered features of the Service, you agree to be bound by the YouTube Terms of Service. You may revoke the Service's access to your Google/YouTube data at any time via https://security.google.com/settings/security/permissions.

We are not responsible for third-party services, and their availability or terms may change outside our control.

5. AI-generated content

The Service offers AI-assisted features that generate text and other output. AI output may be inaccurate, incomplete, or unsuitable for your purpose, and you are responsible for reviewing and verifying any output before relying on or publishing it. We make no warranty that AI output is original, non-infringing, or fit for any particular purpose, and you are responsible for your use of it.

6. Fees and billing

Paid plans are billed through Stripe according to the pricing and billing cycle presented to you. Unless stated otherwise: fees are charged in advance and are non-refundable except as required by law; you authorize us (via Stripe) to charge your payment method on a recurring basis until you cancel; and we may change pricing on prospective notice. You are responsible for applicable taxes. Failure to pay may result in suspension or termination of the Service.

7. Acceptable use

You agree not to:

  • use the Service in violation of any law or third-party right, including intellectual-property, privacy, or publicity rights;

  • attempt to gain unauthorized access to the Service, other accounts, or connected systems;

  • interfere with or disrupt the integrity or performance of the Service;

  • reverse engineer, scrape, or build a competing product from the Service except to the extent permitted by law;

  • use the Service to send spam or unlawful, harassing, or harmful communications; or

  • use any connected third-party data in violation of that provider's terms (including the Google and YouTube terms referenced above).

8. Intellectual property

We and our licensors own all rights in the Service, including its software, design, and trademarks. Except for the rights expressly granted to you, no rights are transferred. You may not use our trademarks without our prior written permission. Feedback you provide may be used by us without restriction or obligation.

9. Confidentiality

Each party may receive confidential information of the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You will defend, indemnify, and hold harmless Maximize from and against claims, damages, and costs (including reasonable legal fees) arising out of your Customer Content, your use of the Service, or your breach of these Terms or of any third-party terms (including the Google or YouTube terms).

13. Term and termination

These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or where necessary to protect the Service or comply with law. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including Sections 8–12 and 14) will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. The state and federal courts located in Washtenaw County, Michigan will have exclusive jurisdiction, and you consent to that jurisdiction and venue. [If you prefer arbitration, this section should be replaced with an arbitration and class-action-waiver clause drafted by counsel.]

15. Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date or by notifying you in-product). Your continued use of the Service after changes take effect constitutes acceptance.
